Terms of Service (AGB)

1. Scope and Contractual Framework

These Terms of Service (“Terms”) apply to educational consulting, mentoring, admissions strategy, portfolio development, diagnostics, and related services provided by Nika Rudenko, trading under the name “U4U Lab” (“U4U Lab,” “we,” or “us”).

The contracting client may be an adult client or, where services are provided for a minor, the minor’s parent or legal guardian.

The services are generally provided as individual service contracts (Dienstverträge) within the meaning of Section 611 of the German Civil Code (BGB), unless otherwise agreed in an individual agreement.

For long-term programs, the specific scope, duration, fees, payment schedule, and other program-specific terms may be set out in a separate individual agreement.

If an individual written agreement expressly conflicts with these Terms, the individual agreement takes precedence for the specific services covered by that agreement.

2. Services

U4U Lab provides individualized educational consulting and mentoring services. The specific services provided depend on the service booked or the individual program agreement.

Services may include, for example, strategic guidance, educational planning, admissions strategy, portfolio development, application support, mentoring sessions, feedback, and related advisory services.

The specific scope and deliverables of a long-term program are set out in the applicable individual program agreement.

3. Contract Formation and Booking

For services booked online, the contract is formed through the applicable booking and payment process and the subsequent confirmation of the booking, subject to applicable law.

Before completing an online booking, the client will be given reasonable access to these Terms and the applicable service information.

For long-term programs, the contract is generally formed when the individual program agreement is accepted by the parties.

The client is responsible for providing accurate and complete information necessary for the provision of the services.

4. Fees, Invoicing and VAT

Fees are stated in euros unless otherwise agreed in writing.

Invoices are issued in accordance with applicable German law.

VAT for current consulting services

U4U Lab currently provides consulting and advisory services.

For consulting or advisory services provided to a client whose residence or seat is outside the European Union, German VAT is generally not charged where Section 3a(4) of the German VAT Act (UStG) applies and places the service at the client’s place of residence or seat.

For clients within the European Union, the applicable VAT treatment depends on the client’s status, location, and the nature of the specific service. The applicable VAT treatment will be reflected on the relevant invoice.

If U4U Lab introduces a new product or materially changes its service structure, the applicable VAT treatment will be reviewed and these Terms and relevant invoicing practices will be updated where necessary.

5. Client Responsibilities and Academic Integrity

The client agrees to:

U4U Lab does not create false achievements, fabricate application materials, falsify documents, or knowingly assist with academic dishonesty or misrepresentation.

If a client provides materially false information or requests assistance with fraud, falsification, or academic dishonesty, U4U Lab may refuse to provide the requested assistance and, where appropriate, terminate the relevant services in accordance with the individual agreement and applicable law.

6. Scheduling and Service Delivery

Sessions and other services are provided at the times and in the manner agreed between U4U Lab and the client.

The client is responsible for attending scheduled sessions and providing materials required for the agreed services.

If a client requests a change to an agreed schedule, U4U Lab will make reasonable efforts to accommodate the request, subject to availability.

Specific scheduling, rescheduling, or cancellation arrangements may be stated in the applicable booking confirmation or individual program agreement.

7. Intellectual Property and Client Materials

Unless otherwise agreed in writing, materials, templates, frameworks, written guidance, and other materials created or provided by U4U Lab remain the intellectual property of U4U Lab or the respective rights holder.

The client receives a limited, non-exclusive right to use such materials for their own personal educational purposes in connection with the services.

The client may not reproduce, publish, distribute, sell, sublicense, or commercially exploit U4U Lab materials without prior written permission, unless permitted by applicable law.

The client retains rights in materials they independently provide to U4U Lab. The client grants U4U Lab the rights necessary to use those materials for the purpose of providing the agreed services.

8. Third-Party Decisions and Liability

U4U Lab is responsible for providing the consulting, mentoring, and other services expressly agreed with the client.

U4U Lab does not control decisions made by schools, universities, boarding schools, scholarship providers, examination bodies, or other third parties. Accordingly, U4U Lab does not guarantee admission, acceptance, scholarships, examination results, or any other particular decision or outcome by a third party.

This does not affect any specific commitments or deliverables that U4U Lab expressly agrees to provide in an individual program agreement.

U4U Lab is liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body, or health, and in other cases where German law does not permit liability to be limited.

In cases of ordinary negligence, U4U Lab is liable only for foreseeable and typical damage resulting from a breach of an essential contractual obligation. An essential contractual obligation is an obligation whose performance is necessary for the proper execution of the contract and on whose performance the client may reasonably rely.

To the extent permitted by law, U4U Lab is not responsible for outcomes caused by decisions of educational institutions or other third parties, or by inaccurate, incomplete, or late information or materials supplied by the client.

9. Termination of Long-Term Programs

The duration and termination arrangements for a long-term program are determined by the applicable individual program agreement.

A program may also be terminated where German law gives either party a right to terminate.

U4U Lab may terminate a program for serious cause where continuation of the contractual relationship is no longer reasonably possible, including in cases of serious breach of contractual obligations, fraud, or requests to engage in unlawful or academically dishonest conduct.

10. Applicable Law and Jurisdiction

German law applies to these Terms and the contractual relationship.

If the client is a consumer who lives in another country, mandatory consumer protections that apply to that consumer under the law of their country of residence are not excluded by these Terms.

The applicable legal rules determine which court has jurisdiction over a dispute.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these service contracts.

11. Changes to These Terms

U4U Lab may update these Terms where necessary, including to reflect changes in applicable law, services, business processes, or contractual requirements.

The version of the Terms applicable to a particular contract is the version valid when that contract was concluded, unless a later change is agreed with the client or is otherwise permitted by law.

For existing long-term programs, changes to contractual terms will be handled in accordance with the individual agreement and applicable law.
